Assistant Secretary – Two (2) Positions

Position Overview

The Assistant Secretary role is positioned within the corporate governance function of KTDA and plays a critical role in supporting board operations, statutory compliance, and organizational governance processes. Reporting to the Assistant Secretary (Supervisory), the position is responsible for delivering professional company secretarial services and facilitating the effective execution of board and management meetings.

The role is central to ensuring that governance structures operate efficiently, regulatory obligations are met, and corporate documentation is accurately maintained and disseminated.

Key Duties and Responsibilities

The Assistant Secretary will be responsible for a broad range of governance and administrative functions, including but not limited to:

Responsibilities or duties

  • Attending and providing secretarial support during Board of Directors meetings, Annual General Meetings (AGMs), Special Meetings, and other management-level engagements within the KTDA Group and its associated entities.
  • Coordinating the preparation, structuring, and issuance of statutory notices and meeting agendas to ensure compliance with corporate governance requirements and timelines.
  • Recording, compiling, and ensuring the timely preparation and distribution of accurate minutes for all board and management meetings, maintaining a clear audit trail of deliberations and decisions.
  • Maintaining company statutory records and ensuring that all corporate record books are kept in proper order, updated regularly, and safeguarded in accordance with regulatory standards.
  • Supporting electoral processes for factory boards and affiliated KTDA entities, including coordination with internal departments to facilitate transparent and compliant elections.
  • Supervising the vetting and validation of power of attorney documentation during director elections to ensure authenticity and compliance with legal frameworks.
  • Participating in the planning, coordination, and execution of director training programs across KTDA-managed tea factory companies, enhancing governance capacity and board effectiveness.
  • Assisting in the compilation, verification, publication, and distribution of annual reports and financial statements to shareholders, ensuring alignment with reporting standards and deadlines.
  • Collaborating with finance, legal, and operational teams to ensure all governance documentation reflects accurate organizational data and complies with statutory obligations.
  • Supporting inter-departmental coordination on governance-related matters to ensure seamless communication and alignment across business units.

This role requires a high level of discretion, attention to detail, and the ability to manage multiple governance processes concurrently within a structured corporate environment.
