Responsibilities or duties
Board Services
- Provide guidance to the Board on their duties and responsibilities and on matters of governance;
- Assist the Board in carrying out the following: Board members’ induction and training; updating the Board and Committee Charters; Board evaluation;
- Governance audit; and implementing the code of conduct and ethics;
- Preparing and managing the Board annual work plans;
- Coordinating preparation and circulation of Board and Committee meeting agendas and board papers;
- Preparing Board Minutes, ensuring that they are confirmed and filed;
- Monitoring implementation of Board decisions and preparing reports to the Board;
- Custodian of Board & Committee Minutes
- Work closely with the CEO to ensure the Board complies with governance practices, financial regulations, and statutory obligations in line with Authority policies and Kenyan laws.
- Support the execution of Authority documents requiring the Board of Directors’ attention.
- Follow up on the implementation of Board Resolutions on behalf of the CEO.
Qualifications or requirements (e.g., education, skills)
Requirements for Appointment
- A Bachelor’s degree from a recognized institution; in Business Management, Law, Administration, or its equivalent.
- Proficiency in computer applications;
- Certified Public Secretary (CPS) (K) will be an added advantage.
- Membership in a relevant professional body and in good standing
- Certificate in Leadership Course, lasting not less than four (4) weeks from a recognized institution.
Experience needed
- At least eight (12) years’ work experience
