Job Purpose
The Senior Legal Officer will be responsible for the provision of quality legal and corporate governance services to the Bank.
Job Specification
Providing legal advice to management and various departments within the Bank.
Drafting and reviewing contracts and other legal documents to ensure accuracy, clarity, and protection of the Bank’s interests.
Assisting the Company Secretary in the implementation of corporate governance in the institution, including management of legal and governance audits, filing of statutory returns, and maintenance of registers, management of board meetings, including drafting notices, preparing agendas, taking accurate minutes, and drafting board resolutions.
Drafting and registration of transfers, charge, agreements, chattel mortgages’, licences, guarantees, and other security documentation on behalf of the Bank.
Develop legal and governance-related documents and templates that support the Bank's operations.
Conduct legal research to stay informed about changes in laws, regulations, and industry best practices, as well as the preparation of legal opinions and reports.
Preparing monthly/quarterly Legal Reports;
Identifying legal and compliance risks and issues relative to the Bank’s intended actions;
Managing the risk exposure of the Bank by ensuring compliance with all relevant statutory and regulatory requirements;
Ensure disputes are resolved in a manner that safeguards the company’s position
Ensuring the security of legal documents and securities held by the Bank.
Administration of court cases in conjunction with external counsel and monitoring progress to ensure prompt appropriate resolution of all disputes.
Representing the Bank in litigation matters.
Effective management and development of the direct reports, including individual performance development, performance support, requisite mentorship, and career coaching.
Any other duties that may be assigned from time to time.
Person Specification
For appointment to this grade, an officer must have: -
Bachelor of Laws degree from a recognized institution;
Postgraduate Diploma in Legal Studies from the Kenya School of Law;
Possession of Certified Public Secretary (CPS-K) will be an added advantage.
Cumulative three (3) years relevant work experience at the grade of Legal Officer or in a comparable position;
Admitted as an Advocate of the High Court Kenya;
Hold a valid practicing certificate;
Member of the Law Society of Kenya;
Proficiency in computer applications;
Show merit and ability as reflected in work performance and results; and
Fulfil the requirements of Chapter Six of the Constitution;
