Role Objective

Our client a premium medium sized Nairobi law firm seeks an Advocate who is ready to make a real direct impact. The client handles Real Estate, Banking, and Finance while keep their team culture collaborative, fast-moving, supportive and direct mentorship.

Core Duties and Responsibilities

  • Conducting official searches, verifying land registry records, property ownership and investigating titles to ensure there are no hidden encumbrances or disputes.
  • Preparing sale agreements, transfers, leases, charges/mortgages, and discharge of charges.
  • Preparing initial drafts of Letters of Offer, and Amalgamation or Subdivision applications.
  • Charges / Mortgages: Securing real estate against a loan.
  • Debentures: Securing corporate assets.
  • Deeds of Guarantee and Indemnity
  • Coordinating the exchange of documents, ensuring safe custody of titles, and overseeing the financial completion (handling holding deposits and professional undertakings).
  • Writing non-disclosure agreements (NDAs), service level agreements (SLAs), shareholder agreements, and employment contracts.
  • Assisting with company secretarial tasks, company registrations, restructuring, and compliance with regulatory bodies.
  • Analyzing commercial risks for clients (e.g., tax implications, data protection compliance) and drafting formal legal advice.
  • Following up with clients and opposing advocates to ensure conditions precedent are met.
  • Preparing documents for stamp duty valuation, paying duties, and physically or electronically lodging documents at the relevant registry for registration.
  • Preparing and perfecting security instruments, which includes:
  • Conducting searches at the Companies Registry to ensure the company has the capacity to borrow and that resolutions are properly executed.
  • Ensuring security documents are properly executed, attested, stamped, and registered within statutory timelines at both the Land Registry and the Companies Registry.
  • Preparing straightforward agreements such as Non-Disclosure Agreements (NDAs), Service Level Agreements (SLAs), Supply Contracts, and Partnership Deeds.
  • Drafting board minutes, shareholder resolutions, and preparing annual returns or changes in company structures (e.g., share transfers, appointment of directors).
  • Reviewing transactions against local licensing laws, data protection regulations, and consumer protection acts.
  • Conducting targeted research on complex land disputes, evolving banking regulations, or tax implications.
  • Serving as a primary point of contact for routine updates, collecting KYC (Know Your Customer) documents, and scheduling meetings.
  • Maintaining accurate billable hour logs and assisting seniors in preparing fee notes based on relevant statutory Remuneration Orders.
  • Any other duties as assigned.

Job Specifications and Qualifications

  • An upper 2nd Bachelors of Laws (LLB) degree from a recognized university.
  • 1-2 years Post admission experience in a busy law firm.
  • Advocate of the High Court of Kenya
  • A valid practicing certificate.
