Entry Requirements:
Corporation Secretary is responsible for playing an advisory role to the Management and Board on legal issues. The officer also ensures that the Service’s legal obligations are met in accordance with the Service’s mandate.
Duties and Responsibilities;
Board Functions
- Provide secretarial services to the Board and its Committees.
- Provision of guidance to the Board on their duties and responsibilities and on matters of Governance.
- Facilitate Board induction, development, evaluation and implementation of the Capacity building programmes.
- Preparation and management of Board Work-Plans.
- Facilitate Annual Board Evaluation.
- Facilitate Governance Audits.
- Development and implementation of the Board Charters, Terms of Reference and the Code of Conduct and Ethics.
- In liaison with the CCF, preparation and circulation of Board and Committee Papers
- Custody and accountability of the Corporation’s seal, securities, agreements, minutes, titles and other legal instruments.
- Maintain and update the Register of Conflict of Interest.
- Give legal advisory services to the Board, Management and Staff of the Service on the internal policies and procedures and external matters that may affect the operations of the Service.
- Development of board calendars;
- Liaison with AG office and advise the Service on legal matters
Additional Information:
Person Specification
- Master’s degree in Environmental Law or related field
- Bachelor degree in Law from a recognized institution
- Postgraduate diploma in Law from the Kenya School of Law
- Advocate of the High Court of Kenya with a valid Practicing Certificate.
- Attended Leadership course lasting not less than four (4) weeks
- At least twelve (12) years’ relevant work experience with four (4) years at management level
- Member of LSK in good standing
- Member of Institute of Certified Public Secretaries- Kenya (ICPSK) in good standing
- Computer Applications proficiency
- Adherence to Provisions of Chapter Six of the Constitution.

- Demonstrate understanding of Mwongozo Code of Governance for State Corporations.
- Demonstrate the capability to manage risks and operate within the complex socio-economic environment.
