Duties and responsibilities will entail: -
Board Services
- Providing guidance to the Board on their duties and responsibilities and on matters of governance.
- Drafting minutes, Board and Committee papers for approval and circulation by the Chief Executive Officer.
- Custodian of the seal of the Board and account to the Board for its use.
- Maintaining and updating the Conflict of Interest and Gift Registers of the Board.
- Ensuring that Board members are aware of all relevant laws affecting the Board.
- Facilitating effective communication between the Board and the shareholders.
- Ensuring that annual returns are promptly filed with the relevant authorities.
Legal Services
- Spearheading the development, implementation and review of policies, strategies, frameworks, work plans, legislations, guidelines, procedures, regulations, norms, standards and programmes for the Board.
- Spearheading provision of legal advice and interpretation of statutes, subsidiary rules, and regulations.
- Safeguarding the Board by ensuring it is adequately defended before the Courts of law, and Tribunals.
- Coordinating the Board’s input in National and Sectoral planning processes.
- Spearheading drafting, review and amendments where necessary contractual instruments entered into between the Board and third parties.
- Overseeing review of contracts or other documentation where the Board has committed itself and assess legal implications necessary for the attention of Management.
- Coordinating management, review and monitoring of progress and status of outstanding litigation.
- Overseeing issuance of instructions, liaison with the Board’s external advocates to ensure Board’s interest while handling cases on its behalf.
- Coordinating the initiation, review, drafting of necessary instruments for business transactions.
- Ensuring the Board complies with constitutional, regulatory and relevant laws in force through the provision of legal advisory services.
- Ensuring risks arising from contractual engagements are effectively and efficiently managed.
- Spearheading advisory to management on all legal, regulatory and contractual matters.
- Ensuring custody and accountability of the Board’s seal, securities, agreements, minutes, titles and other legal instruments.
- Overseeing provision of legal guidance on contractual and statutory obligations binding upon the Board.
- Advising on mitigating measures for addressing risks in the division.
- Ensuring business continuity plans are developed and operational for the division.
- Initiating and implementing Business Process Re-engineering (BPR) in the division.
- Facilitating stakeholder engagement and fostering a corporate culture that promotes ethical practices and good corporate citizenship.
- Spearheading the development and implementation of the division’s strategic plans, budgets and performance contract.
- Managing, mentoring, coaching and developing staff in the division.
Person specification
For appointment to this grade, a candidate must have: -
- Cumulative service period of twelve (12) years’ work experience, three (3) of which should have been in a management position or in a comparable position.
- Bachelor of Laws degree from a recognized institution.
- Master of Laws degree from a recognized institution.
- Post graduate Diploma in Law from the Kenya School of Law.
- Admission as an Advocate of the High Court of Kenya.
- A valid practicing certificate.
- Certificate in Leadership Course, lasting not less than four (4) weeks from a recognized institution.
- Membership of the Law Society of Kenya.
- Proficiency in computer applications.
- Demonstrated managerial, administrative and professional competence in work performance and results.
