Overview
We are looking to hire a passionate, an experienced, hands-on and result oriented legal professional. The purpose of the role is to handle legal functions that ensure legal compliance. Also, serve as the company secretary.
Job description
Legal Advisory Roles
Draft, develop, review and prepare various types of contracts including service level agreements, Annual maintenance and Service Contracts, Project Contracts, partnership agreements, third party and/or sub-contract agreement, Employee Contracts, Service Provider Contracts, ICT agreements ensuring that they are legally sound and they comply with the Group’s policies and procedures and mitigate risks.
Contract management and administration to ensure compliance and renewals as and when appropriate
Drafting, Development, review and negotiations of Lease for new premises and facilitation with registration of the same.
Provide high quality and professional legal advice to the Group on various legal issues affecting its operations.
Give legal advice on compliance with the labour laws, management of disciplinary matters in compliance with the law and guidance on emerging legal matters relating to Employer/Employee relations.
Company Secretary Roles
Monitor and ensure compliance with relevant laws, statutory regulations, codes of governance and global best practices in corporate governance in the Organization.
Ensure that the procedure for directors’ appointment is properly carried out.
Ensure that the annual returns are promptly filed with the relevant authorities.
Ensure accurate recording of minutes of all meetings and ensure that the minute books are properly maintained.
Participate in the implementation of the corporate strategy.
Provide guidance and advice within the Organization on matters of business ethics and good governance.
Ensure that an annual Governance Audit is carried out by a competent qualified professional accredited by the Institute for that purpose,
Ensure that the recommendations from the Governance Audit are considered by the Board in a formal Board meeting
Requirements
Bachelor of Laws degree (LL.B) from a recognized University
A registered CPS(K)
An advocate of the High Court of Kenya holding a valid practicing certificate with at least 5 years post admission experience; 3 years of which should be in a legal corporate environment;
Experience as a Company Secretary, liaising with regulators, lawyers and auditors.
