Job Purpose

To provide effective legal and regulatory support to the business by assisting in contract review and drafting, legal risk management, regulatory compliance, dispute management, corporate governance, and general legal advisory services.

Key Responsibilities

Contract Management

  • Draft, review, and negotiate a wide range of legal agreements, including:
    • Sale and purchase agreements.
    • Lease and tenancy agreements.
    • Construction and development contracts.
    • Service and consultancy agreements.
    • Non-disclosure agreements (NDAs).
    • Vendor and supplier contracts.
  • Ensure contracts adequately protect the company’s legal and commercial interests.
  • Monitor contractual obligations and advise business teams on compliance requirements.

Real Estate Transactions Support

  • Provide legal support for land acquisitions, disposals, leasing transactions, and property developments.
  • Assist with property due diligence exercises, including review of title documents, permits, approvals, and encumbrances.
  • Coordinate property registration, transfers, lease registrations, and related filings with relevant authorities.
  • Identify legal risks associated with property transactions and recommend mitigation measures.

Regulatory Compliance and Governance

  • Monitor compliance with applicable real estate, land, planning, environmental, and corporate laws.
  • Assist in developing and implementing legal compliance programs and policies.
  • Support the preparation and maintenance of statutory records and regulatory filings.
  • Keep management informed of legal and regulatory developments affecting the business.

Legal Advisory Services

  • Provide timely and practical legal advice to business units on operational and strategic matters.
  • Conduct legal research and prepare legal opinions, memoranda, and advisory notes.
  • Support management in interpreting contractual, regulatory, and compliance requirements.
  • Advise internal stakeholders on legal risks and business implications of proposed actions

Corporate and Administrative Support

  • Assist in the preparation of board resolutions, corporate approvals, and governance documentation.
  • Maintain and organize legal records, contracts, and transaction files.
  • Track key legal obligations, deadlines, and renewal dates.
  • Support implementation of legal department initiatives and process improvements.

Key Deliverables

  • Timely review and execution of contracts.
  • Effective legal support for property acquisitions, disposals, and leasing activities.
  • Accurate legal advice and risk assessments.
  • Regulatory compliance and maintenance of statutory requirements.
  • Effective management of disputes and external counsel.
  • Proper maintenance of legal documentation and records.

Qualifications and Experience

  • A Bachelor of Laws (LLB) degree from a recognized university.
  • 1-2 years Post admission experience in a busy law firm.
  • Advocate of the High Court of Kenya
  • A valid practicing certificate.
  • Experience supporting land acquisitions, leasing transactions, property developments, or commercial contracting.

Knowledge and Skills

  • Contract drafting and negotiation.
  • Corporate, conveyancing and commercial law knowledge
  • Strong analytical and communication skills.
