Duties will entail:

  • Providing guidance to the Board on their duties and responsibilities and on matters of governance.
  • Assisting the Board in carrying out the following: Board members’ induction and training; updating the Board and Committee Charters; preparing Board work plans; Board evaluation; Governance audit; and implementing the code of conduct and ethics.
  • Ensuring the timely preparation and circulation of Board and Committee papers and minutes.
  • Custodian of the seal of the Organization and account to the Board for its use.
  • Maintaining and updating the register of conflicts of interest.
  • Ensuring that Board members are aware of all relevant laws affecting the organization.
  • Facilitating effective communication between the organization and the shareholders.
  • Ensuring that annual returns are promptly filed with the relevant authorities.
  • Ensuring that Board and Committee papers are circulated in advance of any meeting.
  • Overseeing the development, implementation and review of policies, strategies, regulations and procedures on legal matters.
  • Providing legal opinion or advice on governance matters.
  • Facilitating legal research, investigation, preparation of witnesses for pre-trial and hearing.
  • Overseeing the development of concept papers, legal briefs and opinions.
  • Spearheading the development of defense strategies, arguments and testimony in preparation for legal proceedings of cases in liaison with external lawyers.
  • Maintaining an up-to-date record of gazetted matters.
  • Ensuring compliance with statutory and other regulatory requirements by undertaking periodic legal audit compliance.
  • Facilitating the review of laws, by-laws and regulations.
  • Spearheading the development and implementation of the Department’s budgets, performance contracts and staff performance appraisal.
  • Ensuring compliance with principles of good governance, transparency, accountability, ethics and integrity.
  • Managing and developing staff in the Department.

Person Specifications
For appointment to this grade, an officer must have:

  • Served for a minimum period of twelve (12) years, five (5) of which shall be at senior management level.
  • Bachelor of Laws degree from a recognized institution.
  • Master of Laws degree from a recognized institution.
  • Post Graduate Diploma in Law from Kenya School of Law.
  • Admitted as an Advocate of the High Court of Kenya with a valid Practicing Certificate.
  • Registered as a member of the Law Society of Kenya in good standing.
  • Membership to the Institute of Certified Public Secretaries.
  • Certificate in Leadership/Governance course lasting not less than four (4) weeks from a recognized institution.
  • Proficiency in computer applications.
  • Certified trustee.
  • Met the requirements of Chapter Six (6) of the Constitution.
  • Demonstrated professional, Managerial and administrative competence in work performance.
  • Exhibited a thorough understanding of national goals, policies, objectives and ability to relate them to proper management of legal services functions.
